Anticorruption clause for agreements on deliveries and services

Anticorruption clause and restraints of competition

FhG and the Contractor declare their absolute intention to counteract any form of corruption or restraints of competition. The following is therefore agreed upon:

(1) Notwithstanding other grounds for termination and cancellation, FhG is authorized to terminate the agreement without notice in accordance with Section 314 BGB [German Civil Code] in the presence of exclusion criteria in the sense of Article 6 No. 5 c - e VOL/A [Contract Awards for Public Supplies and Services - Part A]. In particular, exclusion criteria are:

(a) The unreliability of companies due to verifiable grave misconduct (e.g., Taking and giving bribes in commercial practice, Section 299 StGB [German Criminal Code]; Giving bribes, Section 333 StGB; Giving bribes as an incentive to the recipient’s violating his official duties, Section 334 StGB) or other significant statutory violations that are suitable for fundamentally casting doubt on the reliability of the Contractor;

(b) Failure to meet the due obligation to pay taxes and fees as well as contributions to legal social insurance;

(c) Wilfully and knowingly making incorrect statements with regard to reliability, technical qualification or capability.

(2) Also an exclusion criterion in accordance with Par. 1 is:

(a) Making offers based on agreements that restrict competition in the sense of Section 298 StGB;

(b) Participation in improper restraints of competition in the sense of the GWB [German Act Against Restraints of Competition], particularly the agreement with third parties regarding the making or non-making of offers, regarding the prices to be demanded, regarding the payment of defrayment of costs incurred (profit sharing or other fees) as well as the setting of recommended prices;

(c) Disclosure of trade and industrial secrets (Section 17 UWG [German Act Against Unfair Competition]) or the use of models (Section 18 UWG);

(d) The direct or indirect announcement, offer, promise or granting of gifts, other contributions or other advantages to FhG or its employees or to third parties commissioned by the same who are entrusted with the preparation, completion or performance of the

contract, or to persons related to these. Not included here is socially appropriate behaviour, such as the acceptance of insignificant gifts with a value of up to € 25.00, (e.g., promotional articles of a simple kind such as pens or calendars) or participation in hospitality events that do not exceed what is customary and appropriate or that have their grounds in the rules of commerce and courtesy and that cannot be refused without violating social forms.

(3) Should FhG terminate the agreement for cause in accordance with the provisions of Par. 1, FhG shall proportionately, in the framework of the contractual price, compensate the Contractor for the value of deliveries already received or of services of which it has already availed itself. Any more extensive claim to remuneration or damage compensation on the part of the Contractor is excluded.

(4) If the Contractor culpably acts contrary to the provisions of Par. 1 and 2, the Contractor shall pay FhG a contractual penalty, no matter whether or not FhG makes use of its right to terminate. The amount shall be 50 times the value of the offered, promised or granted advantages in the cases of Par. 1 (a) and 2 (d) or 50 times the saved expenses or caused damages in the remaining cases of Par. 1 and 2, however not more than 5% of the total order price without value added tax. The claim for damages in accordance with Par. 5 is not affected by the contractual penalty.

(5) The Contractor shall compensate FhG for all damages that result directly or indirectly from the termination of the agreement. As far as the Contractor has forfeited a contractual penalty in accordance with Par. 4, this penalty is to be chargeable additionally to the damage compensation.
